IAFF-FC has no obligation to monitor the Website; however, you acknowledge and agree that IAFF-FC has the right to monitor the Website electronically from time to time and to disclose any information as necessary or appropriate to satisfy any law, regulation, or other governmental request, to operate the Website properly, or to protect itself or its IAFF-FC Associates. Nothing in this Agreement shall be construed to establish a joint venture, agency, employment, or other business relationship between you and IAFF-FC. You acknowledge that no verbal representations or guarantees have been made to you, except as set out in this Agreement. This Agreement and the relationship between you and IAFF-FC shall be governed by the laws of the state of Indiana without regard to any conflict of law provisions of any State. You and IAFF-FC agree to submit to the personal and exclusive jurisdiction and venue of the courts located within Marion County, Indiana, in the event of any dispute arising under this Agreement, and waive any future right to object to such jurisdiction and venue. The failure of IAFF-FC to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of the Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Agreement shall remain in full force and effect. The headings used in this Agreement are for convenience only and such headings are not to be used in determining the meaning or interpretation of this Agreement. Any ambiguities in this Agreement shall not be strictly construed against the drafter of the language concerned, but shall be resolved by applying the most reasonable interpretation under the circumstances, giving full consideration to the intentions of the parties at the time of contracting. This Agreement shall not be construed against any party by reason of its preparation. Certain provisions of this Agreement are for the benefit of IAFF-FC Associates, and each shall have the right to assert and enforce the provisions directly on their own behalf. The provisions of this Agreement which by their nature extend beyond the termination of this Agreement shall survive termination of this Agreement. You shall have no right to assign all or any part of this Agreement, and any attempt to do so shall be void. IAFF-FC has the right to assign this Agreement and to sublicense any and all of its rights under this Agreement. This Agreement, including any documents referenced herein and any additional operating rules as posted on the Website, represents the entire understanding between you and IAFF-FC regarding your relationship with IAFF-FC and your use of the Website. This Agreement supersedes all previous written or oral agreements between you and IAFF-FC with respect to such subject matter. Notwithstanding any provisions of this Agreement, IAFF-FC has available all remedies at law or equity to enforce this Agreement.
